Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Payapps application (“Payapps” or “the App”), provided by FactualIQ, a Nebraska corporation (“we,” “us,” or “our”). By signing in to and using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.
1. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. By using the App, you represent that you meet this requirement and that the information you provide is accurate.
2. Account and Authentication
The App uses Auth0 passwordless authentication: when you enter your email address, a one-time code is sent to it, and you sign in by entering that code. By signing in, you authorize us to send sign-in codes to your email address, as described in our Privacy Policy.
Access to the App is granted and administered by your organization — including whether your email address is admitted, and the role and permissions assigned to you (viewer, manager, admin, or superadmin). You are responsible for maintaining the security of your email account and for all activity that occurs under your account.
3. Acceptable Use
You agree not to:
- Use the App for any unlawful, harmful, or fraudulent purpose.
- Attempt to gain unauthorized access to the App, its systems, or other users’ accounts.
- Interfere with or disrupt the integrity or performance of the App.
- Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by law.
- Use the App to transmit malware, spam, or any malicious content.
4. Your Content
You retain ownership of any content you submit through the App, including the contracts, pay applications, and other documents you upload. By submitting content, you grant us a limited license to use, store, and process that content solely for the purpose of providing and improving the App’s services. You represent that you have the rights necessary to upload and use the content you submit.
5. AI-Generated Output
The App uses artificial intelligence (the FactualIQ Decision Engine) to generate reports, analyses, and suggestions from the documents you upload — including contract signal reports, pay-application signal reports, G703 tracker output, and chat responses. This output is provided for informational purposes to assist qualified construction and finance professionals. It is not legal, accounting, financial, or other professional advice, and it may contain errors. You are solely responsible for reviewing AI-generated output and for the decisions you make based on it.
6. Intellectual Property
The App and its original content, features, and functionality — including the FactualIQ Decision Engine and its methods of analysis — are owned by us and are protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written permission. Reports generated from your content are licensed to your organization for its internal business use.
7. Fees and Billing
Use of the App may be subject to fees, including project and pay-application fees, as set out in the agreement between your organization and us. Where your organization has entered into a written agreement with us, that agreement governs billing and payment.
8. Third-Party Services
The App relies on third-party services, including Auth0 (authentication), OpenRouter and Anthropic (AI model access), Amazon Web Services (storage and telemetry), Amplitude (analytics), and Arize Phoenix (LLM tracing). Your use of those services is subject to their respective terms and policies. We are not responsible for the practices of any third-party service.
9. Order of Precedence
If your organization has entered into a Master Services Agreement or other written agreement with us governing use of the App (“MSA”), the MSA controls in the event of any conflict with these Terms, including with respect to data use, ownership, retention, and deletion.
10. Termination
We may suspend or terminate your access to the App at any time, without notice, if you violate these Terms or if we discontinue the App. Your organization may also revoke your access at any time. You may stop using the App at any time.
11. Disclaimer of Warranties
The App is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.
13. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated “Last updated” date. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Nebraska, except as otherwise provided in an applicable MSA.
